BOARD OF TRUSTEES REGULAR MEETING MINUTES
JANUARY 26, 2021

The Adair County Hospital District conducted its regularly scheduled Board of Trustees meeting on January 26, 2021 at 6:30 p.m. via Zoom Meeting due to Co-Vid19.

Those in attendance and/or absent were as follows:

Board of Trustees:
  • Neal Gold, Chairman
  • David Herbst, Vice-Chairman
  • Wes Feese, Secretary
  • Richard Grant-Treasurer
  • Bobby Bowe, Trustee

Guests Present:
  • Tammy Curry, District Accountant
  • Shirley Buckner, CPA
  • Sharon Burton Community Voice

The Hospital District meeting was called to order by Chairman, Mr. Neal Gold at approximately 6:30 p.m. central standard time (CST). A quorum of Trustees was present to conduct business.

The Trustees conducted the following items of business on behalf of the Adair County Hospital District:
  • Approval of Minutes: The minutes of the meeting for the Regular session of October 27, 2020 of the Adair County Hospital District were presented for review and approval. After reviewing the prior meeting minutes, a motion was made by Mr. Wes Feese, seconded Mr. Richard Grant and approved without modification by a unanimous voice vote.

  • Financial & Statistical Supplemental Reports: Mrs. Curry reviewed in detail with the Trustees the Oct 31, 2020 thru December 31, 2020 YTD balance sheet, income statements and supplemental reports. The Trustees had been provided monthly financial reports via email as well.
  • A copy of the reports is attached and made a part of these minutes by reference.
    • Balance Sheet & Income Statements ending October 31, 2020 thru December 31, 2021.
    • Property & Motor Vehicle Tax Reports ending December 31, 2020.
    • Community Trust Bank Check Registers ending October 31, 2020 thru December 31, 2020.
A motion was made by Mr. Richard Grant seconded by Mr. David Herbst and approved by unanimous voice vote to accept the financial reports as presented.

Shirley Buckner, CPA presented the FYE 6/30/2020 audit report. There were no errors or omissions reported. A copy of the report is attached and made a part of these minutes by reference.

A motion was made by Mr. Richard Grant seconded by Mr. Bobby Bowe and approved by unanimous voice vote to accept the audit report as presented.

Mr. Neal Gold informed the board that Farmers Bank had inquired requiring the bankruptcy agreement which states "The District shall continue to assess the Hospital District tax and add any amounts received on account of such tax years to the Net Assets. After deducting the expenses of the Plan in the maximum amount of $50,000.00 per year, or such higher amount in a particular year as Farmers Bank may agree, the District shall make distributions to member of Class 18 of the Net Assets beginning no later than December 20, 2018 and continuing every December 20 thereafter.

Mr. Gold informed the board that the maximum amount after deducting expenses had not been paid to Farmers Bank. Mr. Gold requested approval of the board to make a payment to Farmers Bank for excess Net Assets for FY 2019 and 2020. The amount of that payment would be approximately $450,000.

A copy of the First Immaterial Modification to Third Amended Plan for Adjustment of Debts Dated December 18, 2015 is attached and made a part of these minutes by reference.

A motion was made by Mr. Richard Grant seconded by Mr. David Herbst and approved by unanimous voice vote to make the additional payment to Farmers Bank.

Mr. Gold informed the board that the D&O insurance premium increased approximately 30% from prior year. Mr. Gold was given approval to purchase D&O insurance coverage with a cost of up to $14,000.

A motion was made by Mr. Richard Grant seconded by Mr. David Herbst and approved by unanimous voice vote to allow Mr. Gold to purchase D&O insurance with a cost up to $14,000.

There being no further business to be brought before the District Board of Trustees, a motion was made by Mr. Wes Feese seconded by Mr. Bobby Bowe and passed by unanimous voice vote to adjourn the meeting at 7:10 p.m. CST.
